Terms of Service

These Terms of Service ("Terms") govern your access to and use of RadioNovel (the "Service"), operated by Spark Innovations Corp, doing business as OneSparked Publishing ("RadioNovel," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

RadioNovel lets you upload manuscript text ("Manuscript Content"), which our systems analyze using artificial intelligence to detect speaking characters and segment the text, cast voices for each character, and generate a fully produced audio radio-drama adaptation, including narration, dialogue, sound effects, ambience, and music (the "Production").

1.1 Voice Casting and the Voice Library

You may assign existing voices to characters or design new synthetic voices using our AI voice-creation tools. When you create a new voice, you choose its scope:

  • Account scope — visible only to you, across all of your projects.
  • Project scope — visible only within the specific project where it was created.
  • Global scope (available to administrators only) — added to a shared Voice Library made available to all users of the Service.

If you create a voice at Global scope, you acknowledge and agree that other users of the Service may select and use that voice in their own Productions. Do not create a Global-scope voice based on a real person's likeness without that person's consent.

2. Accounts

You must register for an account to save projects, make payments, or begin production. You must provide a valid email address and confirm it before signing in. You are responsible for maintaining the confidentiality of your password and for all activity under your account. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

3. Pricing and Payment

Each chapter or scene you upload is priced independently, based on its estimated finished audio runtime, at a rate of $89 per finished hour. You will see this estimate before committing to production.

  • A 20% deposit of the estimated price is required before production begins.
  • The remaining 80% balance is due before final production files are unlocked for download.
  • Discount coupons may be applied where offered and are subject to their own terms (expiration, redemption limits).

All payments are processed by Authorize.Net, a third-party payment processor. RadioNovel does not receive or store your full card number — card data is tokenized and transmitted directly to Authorize.Net. Except as required by applicable law or expressly stated at checkout, deposits and balance payments are non-refundable once production has been initiated, as they compensate for compute and third-party AI processing costs already incurred.

4. Third-Party AI Processors

To provide the Service, we transmit your Manuscript Content and related data to third-party artificial intelligence providers, including OpenAI (for text analysis and character detection) and ElevenLabs (for text-to-speech synthesis, sound-effect generation, and music composition). These providers process this data solely to generate your Production and are not authorized by us to use it for any other purpose. Your use of the Service constitutes consent to this processing.

5. Ownership and Content Rights

You retain all ownership rights in your Manuscript Content. You represent and warrant that you own or have the necessary rights to upload, reproduce, and adapt the Manuscript Content you submit, and that doing so does not infringe any third party's copyright, trademark, privacy, or other rights.

Once you have paid in full for a Production, you own the rights to the finished audio Production delivered to you (the final mix and all individual stem tracks), subject to the Voice Library terms in Section 1.1 above regarding Global-scope voices. RadioNovel does not claim ownership of your Manuscript Content or your finished Production. RadioNovel makes no warranty that a Production is free of third-party intellectual property claims arising from the underlying Manuscript Content you supplied.

6. Acceptable Use

You agree not to upload Manuscript Content that is unlawful, defamatory, obscene, infringing, or that you do not have the right to use. You agree not to attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service, its underlying systems, or other users' data.

7. Service Availability

The Service depends on third-party AI providers and infrastructure outside our control. We do not guarantee uninterrupted or error-free operation, specific production turnaround times, or the availability of any particular voice, model, or feature. We may modify, suspend, or discontinue any part of the Service at any time.

8. Limitation of Liability

To the fullest extent permitted by law, RadioNovel and Spark Innovations Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us for the Production giving rise to the claim in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Spark Innovations Corp, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Manuscript Content, your use of the Service, or your violation of these Terms.

10. Termination

We may suspend or terminate your account if we believe, in good faith, that you have violated these Terms. You may stop using the Service and close your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 5, 8, 9, and 11) will survive.

11. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of those courts.
